1 Acceptance of Terms

By creating an account, downloading our application, or otherwise accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website and applications
• Updating the “Last Updated” date above
• Sending you an email notification or in-app notice for significant changes

Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.

2 Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Be of legal age to form a binding contract in your jurisdiction
• Not be prohibited from using the Services under applicable laws
• Not have been previously suspended or removed from our Services

By using our Services, you represent and warrant that you meet all eligibility requirements. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3 Description of Services

Strategy Trader provides a platform for traders to:

3.1 What We Are NOT

We do not have access to your brokerage accounts, cannot execute trades on your behalf, and do not manage any of your funds. All trade data you enter in your journal is self-reported for your personal record-keeping purposes.

4 Account Registration and Security

4.1 Account Creation

To access certain features, you must create an account by providing accurate and complete information. You agree to:

• Provide truthful, accurate, and current registration information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities under your account

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. We offer optional security features including:

• Two-factor authentication (TOTP-based)
• Biometric authentication (fingerprint/face recognition)
• Session management and remote logout
• Login alerts and activity monitoring

We strongly recommend enabling these security features. We are not liable for any loss or damage arising from your failure to protect your account credentials.

5 Subscriptions and Payments

5.1 Subscription Plans

Some features of our Services require a paid subscription. Current subscription options, pricing, and features are available at strategytrader.ai/pricing.

5.2 Billing

• Recurring Charges: Subscriptions automatically renew at the end of each billing period unless cancelled
• Payment Processing: Payments are processed securely by Stripe. We do not store your credit card information
• Price Changes: We may change subscription prices with 30 days’ notice. Changes apply at your next renewal
• Taxes: Prices may be exclusive of applicable taxes, which will be added at checkout

5.3 Cancellation and Refunds

• Cancellation: You may cancel your subscription at any time through Settings → Subscription or by contacting support
• Effect of Cancellation: You retain access to paid features until the end of your current billing period
• Refund Rights (Ontario Residents): Under the Ontario Consumer Protection Act, you may cancel an internet agreement within 7 days of receiving a copy of the agreement. If we fail to deliver services within 30 days of the promised date, you may cancel and receive a full refund within 15 days of your request
• Other Refunds: For refund requests outside statutory rights, contact [email protected]. We will review requests on a case-by-case basis

5.4 Free Trials and Automatic Renewal

5.5 App Store Purchases

Subscriptions purchased through the Apple App Store or Google Play Store are billed by and subject to the respective store’s terms. To cancel or request refunds for these subscriptions:

• Apple: Use Settings → [Your Name] → Subscriptions on your iOS device, or contact Apple Support
• Google: Use Google Play Store → Subscriptions, or contact Google Play Support

We cannot process refunds for purchases made through app stores – you must contact the store directly.

6 User Content and Data

6.1 Your Content

“User Content” includes all information, data, text, screenshots, images, strategies, journal entries, and other materials you submit through our Services. You retain ownership of your User Content.

6.2 License Grant

By submitting User Content, you grant Strategy Trader a non-exclusive, worldwide, royalty-free license to use, process, store, and display your User Content solely for the purpose of providing and improving our Services. This license includes:

• Processing screenshots through AI services for feature extraction
• Analyzing trading patterns to generate psychology insights
• Storing your data securely in our infrastructure
• Creating anonymized, aggregated analytics (which cannot identify you)

6.3 Content Restrictions

You agree not to submit User Content that:

• Infringes any intellectual property or proprietary rights
• Contains malware, viruses, or harmful code
• Is illegal, fraudulent, or deceptive
• Violates any applicable laws or regulations
• Contains personal information of others without their consent

6.4 Data Portability

You may export your trading journal, strategies, and analytics data at any time through Settings → Privacy → Export My Data. Exported data is provided in JSON or CSV format.

6.5 Data Retention and Deletion

We retain your data while your account is active. You may delete your account at any time, which will permanently remove your User Content within 30 days. See our Privacy Policy for details on data retention.

7 Financial Disclaimers and Risk Disclosure

7.1 Not Financial Advice

7.2 Trading Risk Disclosure

Trading financial instruments involves substantial risk of loss and is not suitable for all investors. You should be aware that:

• You could lose some or all of your invested capital
• Past performance is not indicative of future results
• Leveraged products (forex, CFDs, futures) carry additional risks and can result in losses exceeding your initial investment
• Market conditions can change rapidly and unpredictably
• Trading requires knowledge, experience, and emotional discipline

7.3 AI and Analytics Disclaimer

Our AI-powered features, including chart analysis, pattern recognition, psychology insights, and behavioral warnings, are:

• Probabilistic: AI predictions and pattern recognition are based on historical data and statistical models, not guarantees
• Not Infallible: AI can make errors in chart interpretation, pattern identification, and data extraction
• Supplementary: Intended to supplement, not replace, your own analysis and judgment
• Historical: Based on past patterns that may not repeat in the future

Known AI Limitations

Our AI features have the following known limitations that you should be aware of:

• Chart Screenshot Analysis: May misidentify symbols, price levels, or patterns. Accuracy depends on image quality. Does not recognize all chart types or custom indicators
• Psychology Insights: Based solely on self-reported data you provide. Cannot detect unreported emotional states. Not a substitute for professional mental health advice
• Pattern Recognition: May identify patterns that do not lead to profitable outcomes. Historical pattern occurrence does not predict future results
• Strategy Suggestions: Generated from general parameters, not optimized for your specific situation. May not account for current market conditions
• Processing Delays: AI analysis may take time and results are not real-time trading signals

You should always verify AI-extracted data and independently evaluate any suggestions or insights before making trading decisions. Never rely solely on AI outputs for trading decisions.

7.4 Psychology and Behavioral Analysis

Our psychology features analyze your self-reported emotional states, trading patterns, and journal entries to provide insights. These features:

• Are based on your input and may reflect any inaccuracies in your self-reporting
• Are not a substitute for professional psychological or medical advice
• Should not be relied upon for mental health decisions
• May identify patterns but cannot predict future behavior with certainty

7.5 Signal and Strategy Disclaimer

Any trading signals, strategy ideas, or market scans provided through our Services:

• Are generated based on technical criteria you define or general market conditions
• Do not account for your personal financial situation, risk tolerance, or investment objectives
• Should not be followed blindly without your own due diligence
• May be delayed or inaccurate due to market data latency
• Are not guaranteed to be profitable
• Have no track record of actual trading performance – backtested results are hypothetical
• May not reflect real market conditions (slippage, liquidity, fees)

8 Intellectual Property

8.1 Our Intellectual Property

The Services, including all content, features, functionality, software, designs, trademarks, and logos, are owned by Strategy Trader Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal, non-commercial trading analysis purposes.

8.3 Restrictions

You may not:

• Copy, modify, distribute, or create derivative works of our Services
• Reverse engineer, decompile, or disassemble any part of our software
• Remove any copyright or proprietary notices
• Use our trademarks without prior written permission
• Resell, sublicense, or commercially exploit our Services
• Use automated systems (bots, scrapers) to access our Services without permission

9 Prohibited Uses

You agree not to use our Services to:

• Violate any applicable laws, regulations, or third-party rights
• Engage in market manipulation, fraud, or deceptive practices
• Share account credentials or allow unauthorized access
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any systems or data
• Transmit malware, viruses, or other harmful code
• Collect or harvest user information without consent
• Use the Services for illegal gambling or money laundering
• Impersonate any person or entity
• Circumvent any access controls or usage limits

Violation of these prohibitions may result in immediate termination of your account and potential legal action.

10 Third-Party Services and Links

10.1 Third-Party Integrations

Our Services integrate with third-party services including:

• Payment Processing: Stripe for secure payment handling
• Authentication: Google Sign-In, Apple Sign-In
• AI Services: OpenAI, Microsoft Azure, Anthropic for chart analysis
• Market Data: Various providers for real-time and historical data
• Messaging: Telegram for signal distribution (optional)

10.2 Third-Party Terms

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

10.3 External Links

Our Services may contain links to external websites. We do not endorse and are not responsible for the content, accuracy, or practices of linked websites.

11 Disclaimers and Limitations of Liability

11.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, we disclaim all warranties, including:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Services will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of any content or data
• Warranties that defects will be corrected or that the Services are free of viruses

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRATEGY TRADER INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or business opportunities
• Any trading losses or financial damages resulting from your use of the Services
• Any damages arising from third-party services or content
• Any damages resulting from unauthorized access to your account

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

11.3 Acknowledgment

You acknowledge that:

• Trading is inherently risky and you may lose money
• Our Services are tools to assist your analysis, not guarantees of success
• You are solely responsible for your trading decisions and their outcomes
• The limitations above are fundamental elements of the agreement between us

12 Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Strategy Trader Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your violation of these Terms
• Your violation of any applicable laws or third-party rights
• Your User Content, including any claims that it infringes third-party intellectual property
• Any fraudulent, illegal, or intentionally harmful actions you take using the Services

Limitation: This indemnification does not apply to claims arising from our own negligence, willful misconduct, or breach of these Terms. Consumer protection laws in your jurisdiction may limit or exclude indemnification obligations.

13 Termination

13.1 Termination by You

You may terminate your account at any time by:

• Using the account deletion feature in Settings → Account → Delete Account
• Contacting us at [email protected]

13.2 Termination by Us

We may suspend or terminate your account in the following circumstances:

• Immediate (without notice): Breach of these Terms, fraudulent/abusive/illegal activity, or legal requirement
• With 30 days’ notice: Discontinuation of Services
• Inactive Accounts: We may terminate accounts that have had no login activity for 24 consecutive months. Before termination, we will send email notification 30 days in advance, giving you the opportunity to log in and preserve your account

We will not charge any fees for inactive accounts. If your account is terminated due to inactivity, you may request your data export within 30 days of the termination notice.

13.3 Effect of Termination

Upon termination:

• Your right to access the Services ceases immediately
• We may delete your account and User Content (subject to legal retention requirements)
• Provisions that should survive termination (including disclaimers, limitations of liability, and indemnification) shall remain in effect

14 Dispute Resolution

14.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at [email protected] to attempt to resolve any dispute informally. We will work in good faith to resolve the matter within 30 days.

14.2 Arbitration (Where Permitted by Law)

If informal resolution fails and arbitration is permitted in your jurisdiction, disputes may be resolved through binding arbitration administered by a recognized Canadian arbitration body, conducted in Ontario, Canada. Key terms:

• Location: Arbitration will be conducted in Ontario, Canada (or by video conference at your option)
• Costs: We will pay all arbitration filing fees and arbitrator costs for claims under CAD $10,000. For larger claims, costs will be split as determined by the arbitrator
• Small Claims Exception: Either party may bring claims in small claims court if the claim qualifies
• Injunctive Relief: Either party may seek injunctive relief in court for intellectual property violations

14.3 Class Action Waiver (With Exceptions)

To the extent permitted by applicable law, you and Strategy Trader agree to bring claims only in your individual capacity, and not as a plaintiff or class member in any class or representative proceeding.

14.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. However, if you are a consumer in another Canadian province, you may have the benefit of mandatory consumer protection laws in your province of residence.

14.5 Jurisdiction

Subject to the arbitration provisions above, the courts of the Province of Ontario shall have exclusive jurisdiction over any disputes arising from these Terms. Nothing in this section limits your rights under applicable consumer protection laws to bring proceedings in your local courts.

15 Export Controls and Sanctions

You agree to comply with all applicable export control laws and economic sanctions regulations, including those of Canada, the United States, and your country of residence.

15.1 Prohibited Jurisdictions

You may not use our Services if you are:

• Located in, or a resident of, a country subject to comprehensive Canadian or U.S. sanctions (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine)
• Named on any Canadian, U.S., UN, or EU sanctions list
• Owned or controlled by a sanctioned person or entity

15.2 Compliance

By using our Services, you represent and warrant that you are not subject to the restrictions above. We reserve the right to terminate accounts or block access if we determine that you are subject to sanctions or export restrictions.

16 Communications and Marketing (CASL)

16.1 Service Communications

By creating an account, you consent to receive service-related communications from us, including:

• Account notifications (login alerts, security warnings)
• Transaction confirmations and receipts
• Important service updates and changes to Terms
• Responses to your support requests

These communications are necessary to provide the Services and are not considered commercial electronic messages under CASL.

16.2 Marketing Communications

In compliance with Canada’s Anti-Spam Legislation (CASL), we will only send marketing communications with your express consent. This includes:

• Product announcements and new feature notifications
• Promotional offers and discounts
• Newsletters and educational content
• Partner offers or third-party promotions

17 General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Strategy Trader regarding the Services and supersede all prior agreements.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

17.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet/infrastructure failures.
